Agreement to Terms

Services

The specific scope, deliverables, and timeline for each engagement are outlined in a separate proposal or service agreement provided before work begins. These Terms of Service govern the general relationship between you and Nervea, while individual service agreements govern the specifics of each project.

Payment Terms

Services are invoiced monthly unless otherwise specified in your service agreement. Invoices are due on receipt. If payment is not received within 15 days of the invoice date, we reserve the right to pause services until the balance is resolved. All fees are in United States dollars unless otherwise stated.

Intellectual Property

Your content

You retain ownership of all content, logos, images, and materials you provide to us for use in your project. By providing these materials, you grant Nervea a limited license to use them solely for the purpose of delivering the agreed-upon services.

Our work

Upon full payment, you own the website design, content, and assets created specifically for your project. Nervea retains ownership of its proprietary processes, methodologies, frameworks, and any tools or code libraries used across multiple client projects. Nervea also retains the right to display the work in its portfolio unless you request otherwise in writing.

Limitation of Liability

Nervea provides its services on an "as is" basis. We do not guarantee specific results, rankings, traffic levels, or revenue outcomes. Digital marketing results depend on many factors outside our control, including market conditions, competition, and search engine algorithm changes.

To the maximum extent permitted by law, Nervea shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our website or services. Our total liability for any claim shall not exceed the amount you paid to Nervea in the three months preceding the claim.

Termination

All service engagements are month to month unless otherwise specified. Either party may terminate the engagement with 30 days written notice. Upon termination, you are responsible for payment of all services rendered through the termination date. We will provide access to all deliverables and assets created for your project upon final payment.

Indemnification

You agree to indemnify and hold Nervea harmless from any claims, damages, or expenses arising from your use of our services, your content, or your violation of these terms.

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the United States. Any disputes arising from these terms or your use of our services shall be resolved in accordance with applicable United States law.

Changes to These Terms

We may update these Terms of Service from time to time. When we do, we will update the "Last updated" date at the top of this page. Continued use of the website or services after changes are posted constitutes your acceptance of the revised terms.
